Legal Specialist-Paralegal

ADP is hiring a Legal Specialist - Paralegal (Real Estate). In this position you will be a member of the Legal Department and work with three real estate attorneys responsible for negotiating, drafting and closing real estate transactions for ADP's Corporate Real Estate and Facilities Department. Interface with outside brokers, landlords, sub-tenants, consultants and various levels of ADP personnel and opposing attorneys to complete real estate transactions. Assist in the real estate aspects of acquisitions. Liaise with Lease Administrator to manage and maintain ADP real estate database and maintain File Room.

Responsibilities:
Review, draft and negotiate real estate documents relative to lease transactions, acquisitions/dispositions, and construction projects (i.e., subordination agreements, leases, amendments, estoppels, corporate guarantees, construction contracts, etc.).
Prepare and/or review and revise lease abstracts and field questions regarding basic lease terms and conditions.
Obtain W-9's from landlords; maintain real property tax chart and liaise with tax consultants and finance; Monitor reporting for the underground storage tanks and spill prevention control plans; maintain Sarbanes-Oxley compliant lease records.
Interface with outside counsel, brokers and landlords.
Interface with all levels of management on business aspects and attorneys on legal aspects of deal along with real estate brokers, ADP business units, and outside counsel during negotiations.
Work directly with all levels of management in ADP's Corporate Real Estate and Facilities Department to ensure clarity as to the needs of the business unit prior to beginning negotiations.
Review various state environmental laws regarding underground storage tanks to ensure ADP's compliance with state required testing, permits, etc.
Interface with various state agencies to resolve any issues that may arise regarding underground storage tanks.
Manage and maintain logs and files, and draft/file required documents with various state offices of environmental protection.
Review common area maintenance reconciliations for ADP locations within the US and Canada and assist in audit process.
Interface directly with landlords and outside auditing companies to resolve any discrepancies with the reconciliations which often results in savings for ADP.
Draft and file uniform commercial code financing statements (and continuations relating thereto) when necessary.
Assist ADP corporate tax department annually with any necessary mergers of ADP entities. Draft, review and file all documentation in connection with mergers.
Prepare and file all documentation in connection with the cancellation, liquidations and withdrawals of said entities within the necessary jurisdictions when mergers have been completed or when requested by corporate tax.
Miscellaneous special projects as assigned for both corporate and real estate, including inventory of security practices of foreign leasehold interests, pay-to-play filings, lease audits, etc.
Interface with ADP counsel company-wide on special projects.
Position requires skills to proactively manage the legal real estate needs and ensure that all matters are handled in a timely manner.
Candidate must make critical decisions independently on a daily basis which directly impact the outcome of the transactions and to avoid potential problems and costly mistakes.
Supports entire real estate operation.
Highly effective communication skills are required.
Position requires skills and knowledge to proactively manage entire corporate portfolio to ensure all records are kept current.
Supports entire legal staff, all ADP tax departments and all levels of ADP personnel regarding corporate matters.
QUALIFICATIONS REQUIRED:
Bachelors Degree and/or Paralegal certificate.
Substantial experience in commercial real estate transactions with emphasis on lease negotiations.
PREFERRED
Qualifications: Preference will be given to candidates who have the following:
Law school experience.
Additional legal experience with general corporate work.
Excellent verbal and written communication skills necessary.
Must be well organized, and have strong drafting skills with an attention to detail.
Must have strong negotiation skills, be able to work independently, and manage transactions proactively.
In-house experience in a large corporate legal department.
Must have a strong understanding of computers, ability to work in excel and prepare presentations.
